Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ReelBear website at reelbear.app and our related applications and services (together, the "Service"), provided by ReelBear ("ReelBear," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ReelBear is a tool that generates short-form marketing content — such as UGC-style videos and slideshows — from inputs you provide, and, at your direction, helps you publish that content to connected social platforms such as TikTok and Instagram and view performance analytics. Features may change, and we may add, modify, or discontinue parts of the Service over time.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions, credits, and billing
Paid plans are billed in advance on a recurring basis (monthly or as described at checkout) through our payment provider, Stripe. Plans include a periodic allotment of credits that are consumed as you generate content; credit costs per action are shown in the Service. Unless stated otherwise, subscriptions renew automatically until cancelled.
•You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period, and you retain access until then.
•Fees are non-refundable except where required by law or expressly stated. Credits have no cash value and may expire at the end of a billing period.
•We may change pricing on renewal with reasonable notice.
4. Your content and licenses
You retain ownership of the inputs you provide (your "Inputs") and, as between you and us, of the content the Service generates for you from them (your "Outputs"). You grant ReelBear a worldwide, non-exclusive license to host, process, reproduce, modify, and transmit your Inputs and Outputs as needed to operate and provide the Service, including sending them to the AI and media providers that generate and store your content and, at your direction, publishing Outputs to your connected accounts.
You represent and warrant that you have all rights necessary to your Inputs and to authorize the above, and that your Inputs and Outputs do not infringe or violate anyone's rights or any law.
5. AI-generated content
The Service uses artificial intelligence to create content. AI output can be inaccurate, misleading, or unsuitable, and may unintentionally resemble existing works. You are responsible for reviewing every Output before you use or publish it, for ensuring it is truthful and appropriate for your brand, and for disclosing AI-generated or synthetic content where required by law or platform rules. We make no guarantee that Outputs are original, non-infringing, accurate, or fit for any particular purpose.
6. Connected platforms and third parties
When you connect a social account, you authorize us to publish content and read analytics on your behalf through that platform's API. Your use of each platform remains subject to that platform's own terms and policies (including the TikTok and Meta terms), and you are responsible for complying with them — including their rules on content, advertising disclosure, and automation. We are not responsible for the acts, policies, availability, or decisions of third-party platforms, including any suspension, rejection, or removal of your account or content by them.
7. Acceptable use
You agree not to use the Service to:
•Create or publish content that is unlawful, deceptive, defamatory, harassing, hateful, sexually explicit involving minors, or that infringes others' rights;
•Impersonate any person or misrepresent your affiliation, or generate false claims about products or results;
•Violate the terms, rate limits, or automation rules of any connected platform;
•Attempt to access, disrupt, reverse-engineer, or overload the Service or its infrastructure;
•Resell or provide the Service to third parties except as expressly permitted; or
•Use the Service to spam, mass-target, or deceive users of any platform.
We may suspend or terminate accounts that violate these rules.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by ReelBear and protected by law. These Terms do not grant you any right to our name, logos, or brand except as needed to use the Service. We welcome feedback and may use it without obligation to you.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, or error-free, or that any content will achieve any particular reach, engagement, or business result.
10. Limitation of liability
To the maximum extent permitted by law, ReelBear and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless ReelBear from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Inputs or Outputs, your use of the Service, your published content, or your violation of these Terms, applicable law, or any third-party or platform rights.
12. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which our operating entity is established, without regard to conflict-of-laws rules. You agree that any dispute will be resolved in the courts located there, unless applicable law requires otherwise.
